Recording Private Placements Without Clutter

Private deals do not arrive on neat monthly statements. Clients paste term-sheet excerpts, write conversion dates in margins, and cross-reference emails by date. A dedicated private-placement section needs wider rows and a facing notes page—not a grid copied from listed equity.

Left spread: position table

Columns we commonly rule:

  • Issuer (short name)
  • Instrument type
  • Commitment date
  • Committed amount (reporting currency)
  • Document reference (your file code, not ours)

Avoid cramming legal clauses into the table—reference the document code and keep clauses in a file folder.

Right spread: free notes

Leave the right spread lightly ruled or blank. Use it for board dates, waiver notices, and questions for your adviser. Update when documents arrive, not on a fixed calendar.

Cross-reference to listed book

If a placement later lists, add a single line in the equity section pointing back to the private tab page number. Do not duplicate full history—paper books punish duplication.
